ELKDESA - Notice Of Rights Entitlement (Ratio)

Renounceable rights issue of up to 51,589,369 new ordinary shares in ELK-Desa Resources Berhad ("ELK-Desa") ("ELK-Desa Share(s)") ("Rights Share(s)") at an issue price of RM1.16 per Rights Share on the basis of one (1) Rights Share for every five (5) existing ELK-Desa Shares held as at 5.00 p.m. on 8 August 2017 ("Rights Issue"). 

Kindly be advised of the following :

1)    The above Company’s securities will be traded and quoted “Ex-Rights Issue” as from: 4 Aug 2017
2)    The last date of lodgment : 8 Aug 2017
3)    Retention Money: Where securities are not delivered in time for registration by the seller, then the brokers concerned:-
       a)    Selling Broker to deduct<1/6>, of Selling Price against the Selling Client
       b)    Buying Broker to deduct <10%>, of Purchase Price against the Buying Client
       c)    Between Broker and Broker, the deduction of <1/6>, of the Transacted Price is applicable.

Remarks: The abridged prospectus, together with the rights subscription form and the notice of provisional allotment (collectively, referred to as the "Documents") relating to the Rights Issue will only be despatched to the shareholders of ELK-Desa who have registered addresses in Malaysia and whose names appear in ELK-Desa's Record of Depositors at 5.00 p.m. on the Entitlement Date ("Entitled Shareholders"). The Documents will not be despatched to Entitled Shareholders who have not provided an address in Malaysia by the Entitlement Date ("Foreign Addressed Shareholders"). However, Foreign Addressed Shareholders may collect the Documents from the Share Registrar of ELK-Desa, Tricor Investor & Issuing House Services Sdn Bhd. The Documents are not intended to be and will not be issued, circulated or distributed, and the Rights Issue will not be made or offered or deemed to be made or offered for purchase or subscription, in any country or jurisdiction other than Malaysia or to persons who are or may be subject to the laws of any country or jurisdiction other than the laws of Malaysia. No action has been or will be taken to ensure that the Rights Issue and the Documents comply with the laws of any countries or jurisdictions other than the laws of Malaysia. The Documents will be despatched to the Entitled Shareholders not later than two (2) market days from the Entitlement Date.
